The purpose of this presentation is to (i) discuss why aggregator entities are used to facilitate profits interest equity awards (also known as mirror back-to-back profits interests grants), (ii) detail factual scenarios where the use of an aggregator entity should be discussed, (iii) set forth design considerations associated with the same, and (iv) discuss the different types of documentation used to implement these types of awards.
