(NEE Capital) of $1 billion aggregate principal amount of its 3.00% Exchangeable Senior Notes due 2027 (the Exchangeable Senior Notes), which amount is inclusive of the exercise by the initial purchasers of their $100 million over-allotment option. The Exchangeable Senior Notes are fully and unconditionally guaranteed by NextEra Energy, Inc. (NEE), the parent company of NEE Capital.
